Please read these terms and conditions carefully before using our services. By accessing or using AxiloLabs services, you agree to be bound by these terms.
1. Introduction and Acceptance
Welcome to AxiloLabs ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any changes.
2. Description of Services
AxiloLabs provides custom software development services including:
- Custom API development and integration
- Web application development and design
- Machine learning and AI solutions
- Performance optimization and DevOps services
- Technical consulting and support
- Digital transformation solutions
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
3. User Responsibilities and Conduct
3.1 Acceptable Use
When using our services, you agree to:
- Provide accurate and complete information
- Use our services only for lawful purposes
- Respect intellectual property rights
- Maintain the confidentiality of any access credentials
- Comply with all applicable laws and regulations
3.2 Prohibited Activities
You agree not to:
- Use our services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services or servers
- Transmit viruses, malware, or other harmful code
- Violate any applicable laws or third-party rights
- Reverse engineer or attempt to extract source code
4. Intellectual Property Rights
4.1 Our Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by AxiloLabs and are protected by copyright, trademark, and other intellectual property laws.
4.2 Client Intellectual Property
Unless otherwise specified in a separate agreement:
- Clients retain ownership of their pre-existing intellectual property
- Custom solutions developed for clients become client property upon full payment
- AxiloLabs retains rights to general methodologies and know-how
- Both parties respect each other's intellectual property rights
5. Payment Terms and Billing
5.1 Fees and Payment
Payment terms are specified in individual project agreements. Generally:
- Fees are due according to the agreed payment schedule
- Late payments may incur additional charges
- All fees are non-refundable unless otherwise specified
- Prices are subject to change with 30 days notice
5.2 Taxes
You are responsible for paying all taxes associated with your use of our services, including but not limited to sales tax, use tax, and value-added tax.
6. Refund Policy
6.1 Refund Eligibility
AxiloLabs maintains the following refund policy for its services:
- Refunds are available only if requested within 7 days of project initiation and before any substantial work has been commenced
- Once development work has begun (including design, coding, or configuration), the project is considered non-refundable
- Refunds due to AxiloLabs service failures or non-performance will be evaluated case-by-case and may result in partial or full refunds
6.2 No Refund After Project Completion
Once a project has been fully delivered and completed according to specifications, no refunds will be provided. This includes situations where:
- The project has been delivered to the client in its final state
- All agreed-upon features and functionality have been implemented
- The client has accepted the final deliverables
- All included revisions have been completed and accepted
6.3 Revision Policy
The number of revisions included in your project will be specified in your individual project agreement. Once all included revisions have been completed and accepted by the client, the project is considered final. Additional revisions beyond the agreed-upon number may require additional fees. After the final revision is completed and accepted, the project is not eligible for refunds.
6.4 Payment Processing
All payments are processed according to the payment terms specified in your project agreement. If a refund is approved, it will be processed using the same payment method originally used, and may take 5-10 business days to appear in your account. Payment processing fees, if any, may be deducted from refund amounts.
6.5 Refund Request Process
To request a refund, clients must:
- Submit a written refund request to hello@axilolabs.com within the specified timeframe
- Provide detailed reasons for the refund request
- Include the project name and contract reference number
- Allow up to 5 business days for AxiloLabs to review and respond to the request
6.6 Non-Refundable Scenarios
The following scenarios are explicitly non-refundable:
- Client changes their project requirements after work has commenced
- Client requests to cancel the project after development has started
- Client is unsatisfied with the final product (unless due to AxiloLabs non-performance)
- Payment made for completed work and delivered revisions
- Disputes arising from miscommunication about project scope
6.7 Changes to Refund Policy
The refund policy applicable to your project is the one specified in your individual project agreement or service contract. In case of any conflict between this general refund policy and a specific project agreement, the terms in the specific project agreement will take precedence.
7. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using our services, you also agree to our Privacy Policy.
We implement appropriate security measures to protect your data, but you acknowledge that no method of transmission over the internet is 100% secure.
8. Disclaimers and Warranties
7.1 Service Availability
While we strive to provide reliable services, we do not guarantee that our services will be available 100% of the time. Services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.
7.2 "As Is" Basis
Our services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, AxiloLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, or business opportunities
- Business interruption or loss of revenue
- Costs of substitute services or products
- Any other commercial damages or losses
Our total liability to you for all claims arising from or relating to these Terms or our services shall not exceed the amount paid by you to us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless AxiloLabs and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of our services or violation of these Terms.
10. Termination
10.1 Termination by Either Party
Either party may terminate the service relationship at any time with appropriate notice as specified in individual agreements. Upon termination, you must cease all use of our services.
10.2 Effect of Termination
Upon termination, all rights and obligations under these Terms will cease, except for those that by their nature should survive termination, including payment obligations, intellectual property rights, and limitation of liability provisions.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles.
11.2 Dispute Resolution
Any disputes arising from these Terms or our services will be resolved through good faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in the courts of Sri Lanka.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any specific project agreements, constitute the entire agreement between you and AxiloLabs regarding our services.
12.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
12.3 Modifications
We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting the updated Terms on our website and updating the "Last updated" date.
